This document outlines the terms and conditions for earning and utilizing Success Fee Credits on the N5Deal Platform. By participating in the Success Fee Credit Program, members are subject to the following terms and conditions.
1. Success Fee Credit Issuance
Members may be eligible to earn Success Fee Credits to reduce their success fee obligations on N5Deal. Credits can be earned based on a variety of N5Deal member programs, which are subject to the sole discretion of N5Deal.
2. Credit Utilization
Provided the Member is in good standing and has not violated the N5Deal Terms of Service in any way, the Member can apply Success Fee Credit balances towards their future success fee obligations.
3. Credit Expiration
Success Fee Credits have a 5-year life from the date of issuance. Credits not utilized within this timeframe will expire and be removed from the member's account.
4. Credit Transferability
Members can use Success Fee Credits with legal affiliates of their existing member account. However, credits cannot be used with unaffiliated new entities without the prior written consent of N5Deal.
5. Credit Eligibility
Credits are earned and issued exclusively on fee payments that are made in accordance with the N5Deal Terms of Service and the Member's Membership Agreement. N5Deal, in its sole discretion, will determine Credit Eligibility on a deal-by-deal basis.
The following forms of fee payments do not qualify for Success Fee Credits:
- Late payments
- Payments made on transactions that were not self-reported by members
6. Credit Forfeiture
Members forfeit their Success Fee Credits for any violation of the N5Deal Terms of Service.
7. Program Changes
N5Deal reserves the right to change the Success Fee Credit Program at any time without prior notice. This includes, but is not limited to, changes to credit issuance rates, utilization rules, and expiration policies.
8. Disclaimer
Participation in the Success Fee Credit Program does not guarantee any specific outcomes or results. Success Fee Credits are non-transferable except as expressly provided herein.
