M&A TECH GROUP LTD, a company incorporated and registered in England and Wales under company number 15374788, with its registered office at 91 Battersea Park Road, London, England, SW8 4DU ("the Company", "we", "our", or "us"), respects your privacy and is committed to protecting your personal data. This Privacy Policy ("Policy") explains how we collect, use, store, and disclose information about individuals who access, browse, register, or otherwise use our website, platform, or related services ("Services"). Our Services provide a platform for our members to connect and interact with each other directly. We act solely as a platform provider and are not a party to any negotiations or transactions, which are conducted directly between members.

By using our Services, you acknowledge that you have read and understood this Privacy Policy. This acknowledgement does not constitute legal consent for our processing activities. Where we require your consent for processing, such as for non-essential cookies or direct marketing, we will ask for it via a separate, clear, and affirmative action. If you do not agree with this Policy, you must refrain from using our Services.

1.1Personal Information

We may collect information that identifies you personally, including but not limited to your name, email address, telephone number, postal address, company information, and other identifiers when you register for an account or use our Services.

1.2Account Credentials

We collect authentication information such as passwords, two-factor authentication codes, or biometric identifiers necessary to provide access to your account.

1.3Transactional and Verification Data

We may collect financial, corporate, or documentary information necessary for account verification or evaluation, including bank statements, proof of funds, and other financial records.

1.4Technical Information

We may automatically collect information regarding your device, browser, IP address, operating system, and interactions with the Services (including cookies and usage analytics).

1.5Communications

We may collect information from communications with the Company, including emails, support requests, or other messages.

1.6Audio, Video, and Meeting Transcripts

When you participate in online meetings or video conferences with us (e.g., via Google Meet, Zoom, or similar platforms), we may, subject to your prior notice and consent, use third-party AI meeting assistants and transcription tools (such as Fathom AI Meeting Assistant, Read.ai, MeetGeek or similar services) to record the audio and video, and generate text transcripts and summaries of the conversation.

2. How We Use Your Information

2.1To provide, operate, and maintain the Services.

2.2To verify your identity and account information in accordance with our User Verification procedures.

2.3To communicate with you regarding your account, updates, and administrative or security notices.

2.4To assess creditworthiness, financial standing, or payment capability in connection with Services.

2.5To monitor and prevent fraudulent, illegal, or unauthorized activity, and to enforce our Terms of Use.

2.6To improve and develop the Services, including analytics and research.

2.7To comply with legal obligations, regulatory requirements, or governmental requests.

2.8To maintain accurate records of our business discussions, generate meeting summaries, and ensure quality of service through the use of AI-powered transcription and note-taking tools.

3. Our Role as a Member-to-Member Platform

3.1Data Controller Roles

M&A TECH GROUP LTD acts as the data controller for:

(a) Your registration and account information
(b) Platform access, authentication, and membership administration
(c) Communications facilitation between members
(d) Platform security, analytics, and fraud prevention
(e) Verification and compliance activities (KYC/AML)

When you interact with other members to conduct transactions, you and the other member become independent data controllers for any personal data you exchange. Each party is responsible for complying with UK data protection law for the personal data they collect from or about the other party.

3.2Member Responsibilities as Data Controllers

As a member conducting transactions through our platform, you are responsible for:

(a) Complying with UK GDPR when collecting personal data about individuals at target companies, counterparties, advisers, or other relevant parties
(b) Providing privacy notices to individuals whose data you collect
(c) Establishing your own lawful basis for processing personal data
(d) Responding to data subject rights requests regarding data you control
(e) Ensuring appropriate security measures for personal data in your possession

3.3General Principle

Our primary role is to provide a platform and tools to facilitate connections between our members. We are not a party to any transaction or communication that may occur between members. The decision to interact, share information, or enter into any agreement is at the sole discretion of our members.

3.4Member-to-Member Communications

We may facilitate communication between members through on-platform messaging or other tools. We process the content and metadata of these communications as a processor on behalf of the communicating members for the purposes of message delivery. However, we process metadata and content as a data controller for the purposes of platform security, fraud prevention, and compliance with our legal obligations. We do not use the content of member communications for marketing, product development, or other unrelated purposes. The content of these communications is confidential between the participating members. We will not share their content beyond the intended recipients, except where required by law.

3.5Confidential Deal Information

We recognise that members may share sensitive and confidential information related to potential transactions ("Confidential Deal Information"). Confidential Deal Information includes, but is not limited to, Confidential Information Memoranda (CIMs), Confidential Business Reviews (CBRs), financial statements, presentations, term sheets, supporting documents, and any other materials uploaded by users related to a business transaction.

The sharing of Confidential Deal Information is controlled entirely by our members. Information will only be shared when a member, in their sole discretion, chooses to share it with another member.

We do not use Confidential Deal Information for any purpose other than to facilitate the transaction process as initiated and directed by our members. We will not use this information for our own marketing, product development, or any other unrelated purpose.

Limitations on Access: Access to Confidential Deal Information by M&A TECH GROUP LTD personnel is strictly limited to those required to carry out technical and operational support. No personnel may access these materials outside of this strict operational scope.

Data Use and Anonymization: We may use aggregated and completely anonymized data (stripped of all personal and deal-specific identifiable elements) solely to improve platform performance or produce general market insights. Identifiable deal-specific data will never be used for AI training, marketing, or publication.

Retention and Deletion: Upon deal closure or abandonment, users may instruct us to delete all related Confidential Deal Materials by contacting privacy@n5deal.com.

3.6Member Profile Visibility

Certain profile information (such as company name, industry sector, and general investment interests) may be visible to other verified members to facilitate connections. You control what information is displayed in your profile through your account settings. Personal contact information (email, phone number, full address) is not shared with other members without your explicit action to share it.

4. Legal Basis for Processing

Where applicable under data protection law, we process personal data on the following legal bases:

(a) Your consent (e.g., account registration or communication preferences).
(b) Performance of a contract or taking steps prior to entering into a contract.
(c) Compliance with legal or regulatory obligations.
(d) Legitimate interests, such as ensuring security, preventing fraud, and improving the Services.

5. Sharing Your Information

5.1Third-Party Service Providers

We may share your data with vendors, contractors, or service providers who perform services on our behalf (e.g., hosting, analytics, verification, AI-powered meeting transcription and recording services).

5.2Regulatory or Legal Compliance

We may disclose information if required by law, regulation, legal process, or governmental request.

5.3Business Transfers

In the event of a merger, acquisition, or sale of assets, personal data may be transferred as part of the business transaction.

5.4Protection of Rights

We may disclose information to protect our rights, property, or safety, or that of our users or third parties.

5.5Sale and Sharing of Personal Data (CPRA Notice)

We do not sell your personal data for monetary consideration. However, under California law (CPRA), the use of certain third-party cookies for analytics and advertising may be considered "sharing" or "selling" of personal data. You have the right to opt-out of such sharing via the "Do Not Sell or Share My Personal Information" link in our footer or by adjusting your Cookie Settings.

7.4Specifically for Confidential Deal Information, we employ enhanced security measures including strict access controls, access logging, and, where applicable, document watermarking to protect the integrity and confidentiality of deal materials.

Depending on your jurisdiction, you may have the following rights regarding your personal data:

(a) Access and obtain a copy of your personal data.
(b) Request correction of inaccurate or incomplete data.

In the preceding 12 months, we have collected the following categories of personal information:

(c) Internet Activity: (Browsing history, interaction with our platform).
(d) Sensitive Personal Information: (Account log-ins, financial account numbers as mentioned in section 1.3).
